1. About Emynence

Emynence is a Software-as-a-Service (SaaS) CRM and lead management platform designed exclusively for licensed real estate Channel Partners (CPs) in India. The platform allows CPs to submit, track, and manage property leads for listed real estate projects, log sales activities, manage their teams, and track billings through a digital wallet.

The platform is operated by mFunnel Technologies Pvt. Ltd. (CIN: U62090MH2025PTC451642), registered at 602, Satyadeep, Siddharth Nagar 4, Goregaon West, Mumbai – 400104.

Emynence is not a lead generation agency. We do not generate, source, or guarantee leads on behalf of CPs. CPs bring their own leads and submit them through our platform for tracking and billing purposes.

2. Eligibility

To use the Emynence platform, you must:

• Be at least 18 years of age.
• Be a registered real estate Channel Partner, broker, or agent operating in India.
• Have a valid email address and mobile number.
• Have the legal authority to enter into binding contracts on behalf of yourself or your firm.
• Not have been previously suspended or banned from the platform.

By registering, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@emynence.com if you suspect any unauthorised access to your account.

Each individual may hold only one active account. Creating duplicate accounts is prohibited and may result in immediate termination of all associated accounts.

Team accounts (Super Admin → Admin → Manager → Agent) are managed hierarchically. The account owner (Super Admin) is responsible for all actions and billings occurring under their account hierarchy.

4. The Cost-Per-Lead (CPL) Model

Emynence operates on a prepaid Cost-Per-Lead (CPL) billing model. Here is how it works:

• Each real estate project listed on the platform has a fixed CPL rate set by the Emynence administrator.
• When a CP submits a lead for a specific project, the project's CPL is immediately and automatically deducted from the CP's wallet balance.
• The deduction happens in real-time at the moment of lead submission, as an atomic database transaction.
• If the wallet balance is insufficient to cover the CPL, the lead submission is rejected with a "402 Insufficient Balance" error and no charge is applied.
• CPL rates may vary by project and may be updated by the administrator. The CPL displayed at the time of lead submission is the rate that applies to that submission.

CPs are strongly advised to check the applicable CPL before submitting leads. Submitting a lead constitutes acceptance of the displayed CPL rate for that project.

5. Wallet System

• All wallet top-ups must be made in Indian Rupees (INR) via supported payment gateways.
• Wallet balances do not expire as long as the account remains active.
• Wallet balances are non-transferable between accounts or users.
• Minimum top-up amounts may apply and will be displayed at the time of payment.
• All wallet top-up transactions are final. Wallet top-up amounts are non-refundable, except as expressly provided in the Refund Policy in cases of platform-side billing errors (see Refund Policy).
• A complete, auditable wallet transaction history is available in your CRM dashboard at all times.

6. Lead Submission Rules

When submitting a lead through the Emynence platform, the CP warrants that:

• The lead data is genuine and relates to a real person who has expressed interest in the specified property.
• The CP has obtained the lead's consent to share their personal data with the platform for CRM purposes.
• The lead has not been fabricated, duplicated (a lead already existing in the system for the same project and mobile number may be flagged as a duplicate), or submitted maliciously.
• The CP is not submitting leads on behalf of a competitor or for any purpose other than genuine sales follow-up.

The platform may implement duplicate lead detection. Leads flagged as exact duplicates (same mobile + same project within a defined window) may be rejected before billing. However, once a lead is successfully submitted and billed, it is final.

7. No Refunds Policy — Leads Are Non-Refundable

All CPL charges deducted from your wallet upon lead submission are final and non-refundable. This is absolute and applies in all of the following circumstances, without exception:

• The lead did not respond to follow-up calls or messages.
• The lead's contact details turned out to be invalid, incorrect, or out of service.
• The lead expressed disinterest after initial contact.
• The lead did not result in a site visit, booking, or any commercial outcome.
• The lead was qualified or unqualified by the CP's own assessment.
• The project was paused, deactivated, or removed from the platform after lead submission.
• The CP changed their mind or made a submission in error.
• Market conditions changed after the lead was submitted.

Emynence is a platform for lead management and tracking. We do not verify, qualify, or guarantee the quality of any lead submitted by a CP through our platform. The CPL charge represents the cost of using the platform's infrastructure to record, store, and manage the lead — not a guarantee of any commercial outcome.

Replacements: Emynence does not provide replacement leads under any circumstances. If a lead does not convert, CPs must submit a new lead for the project, which will incur a new CPL charge at the then-applicable rate.

Please refer to our Refund Policy for the only limited circumstances in which a wallet credit may be considered.

8. Channel Partner Obligations

As a CP on the Emynence platform, you agree to:

• Use the platform only for lawful real estate lead management purposes.
• Maintain accurate and up-to-date account information at all times.
• Follow up on submitted leads diligently and in a professional manner.
• Ensure your team members (if any) are trained and comply with these Terms.
• Obtain all necessary consents from leads before submitting their data.
• Comply with RERA (Real Estate Regulatory Authority) regulations applicable to your jurisdiction.
• Not share your account credentials with third parties outside your authorised team.

9. Prohibited Conduct

You may not use the Emynence platform to:

• Submit fabricated, false, or purchased leads ("junk leads") to inflate billing or for any other purpose.
• Attempt to reverse-engineer, scrape, or extract platform data in bulk.
• Interfere with the platform's servers, database, or security systems.
• Impersonate any person or entity, including Emynence staff or other CPs.
• Violate any applicable law, including RERA, data protection laws, or anti-spam regulations.
• Use the platform to conduct competitive intelligence against Emynence or other CPs.
• Attempt to exploit bugs, errors, or unintended behaviours in the platform for commercial gain.

Violation of any of the above may result in immediate account suspension or termination, forfeiture of wallet balance, and/or legal action.

10. Intellectual Property

All content, software, branding, and technology on the Emynence platform — including the source code, user interface design, algorithms, and documentation — is the exclusive intellectual property of mFunnel Technologies Pvt. Ltd. and is protected by Indian copyright law.

Your use of the platform grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your own business purposes. You may not copy, modify, distribute, sell, or sublicense any part of the platform without our prior written consent.

11. Disclaimers

The Emynence platform is provided "as is" and "as available" without warranties of any kind, express or implied. We specifically disclaim:

• Any warranty that the platform will be uninterrupted, error-free, or free from data loss.
• Any guarantee that leads submitted through the platform will result in site visits, bookings, or revenue.
• Any representation regarding the accuracy of property details, CPL rates, or project information listed on the platform (though we make reasonable efforts to keep this accurate).
• Any liability for downtime due to maintenance, infrastructure failures, or third-party service outages.

12. Limitation of Liability

To the maximum extent permitted by applicable law, mFunnel Technologies Pvt. Ltd.'s total aggregate liability to you for any claims arising from or related to the Emynence platform shall not exceed the total amount charged to your wallet in the 30 days preceding the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of leads, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

13. Termination

By you: You may close your account at any time by contacting support. Upon closure, your data will be retained per our Privacy Policy and data retention schedule. Any remaining wallet balance at the time of voluntary account closure is non-refundable, unless otherwise stated in the Refund Policy.

By Emynence: We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required to do so by law. On termination for cause, any remaining wallet balance may be forfeited at our discretion.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement.

15. Amendments

We reserve the right to amend these Terms at any time. Material changes will be communicated via email and/or platform notification at least 14 days before taking effect. Your continued use of the platform after the effective date of any amendment constitutes acceptance of the revised Terms. If you do not agree to amended Terms, you must stop using the platform before the effective date.
